1. contributes *his* shares does not mean the shareholder is a private individual, but could be her or, routinely, another company or partnership.

2. It may be that S.ar.l., is a French etc. private limited company, whilst GmbH suggests the members are Gesellschafter rather than Aktionare einer Aktiengesellschaft,
