Company’s objects To some degree, creditors and minority shareholders can derive protection from the functioning of a doctrine that is similar to what was known in the UK as the ultra vires doctrine(306). Under Belgian law, a company’s range of action is delimited by its statutory object, the objects clause in its articles(307) and the corporate interest(308). Transactions that exceed the confines of any of these three legal concepts are at risk of being declared null by a court. However, the protection offered under these principles is not especially extensive(309). It furthermore suffers a similar defect to the rules on financial assistance, namely, the slippery slope of judicial inconsistency(310). The notion of a company’s ‘objects clause’ has lost much of its meaning as a protective mechanism because of several factors(311). For one, the company’s object, as described in its articles of association, is usually very widely cast(312). Add to this the fact that courts have the tendency to apply a flexible interpretation to what falls within the company’s object(313), and that Article 258 of the Companies Code further diminishes the protective effect towards third-party creditors. Under Belgian law, a company’s range of action is delimited by its statutory object, the object clause in its articles(307) and the corporate interest(308) 307 - Meaning the object of the company as established in the articles of association or memorandum of association. 308 - Respectively corresponding to the Belgian legal notions of ‘wettelijke specialiteit’, ‘statutaire specialiteit’ and ‘vennootschapsbelang’. In spite of its drawbacks, a test against the company’s objects (be it derived from statute or from the articles of association) can, in some instances, fill the gap left behind by financial assistance(314). In the context of financial assistance in the shape of an outright gift, the legal notion of ‘statutory object’ will act as a corrective mechanism(315). This will generally also be true for transactions at undervalue or security given by the company for which no consideration was present(316). Mocht geïntimeerde/verweerder (vennootschap XX) de rechten op uitvinding YY inderdaad hebben overgedragen aan BV ZZ zonder dat dit enig direct of indirect vermogensvoordeel voor geïntimeerde/verweerder heeft opgeleverd, dan heeft geïntimeerde/verweerder daarmee een rechtshandeling gesteld die buiten de wettelijke specialiteit (van vennootschappen) valt. Immers, volgens de wet is een van de doelen van een vennootschap om "aan haar vennoten een rechtstreeks of onrechtstreeks vermogensvoordeel uit te keren of te bezorgen". Het 'om niet' overdragen van de rechten op uitvinding YY zou, indien dit inderdaad heeft plaatsgevonden, als rechtshandeling in strijd zijn met dit beginsel (i.e. het beginsel van de wettelijke specialiteit). |
