[memorandum of association's] objects clause
Explanation:
Dear Helen,

I'm actually pretty sure "vedtægtsmæssige formålsbestemmelse" refers to the objects clause in the company's memorandum of association.

The objects clause is the clause in the memorandum of association that sets out the objects of the company.

Hope that helps,

Best,
Christian

Response to Tom Thumb. I specified UK on the answer page, but I guess it didn't make it to this page. The point you make about Articles of Association escapes me somewhat. The Articles of Association (the internal regulations of the company) usually accompany the Memorandum of Association (which regulates the company's external activities). The Objects Clause (vedtægtsmæssige formålsbestemmelse).

.... The Objects Clause (vedtægtsmæssige formålsbestemmelse) is part of the Memorandum of Association.

Hi again Tom,

Again, I'm not quite sure what you mean. It is not called an "Objects Article" - it is an "Objects Clause" - a stock phrase. See any UK English law dictionary, e.g. Curzon or Mozley & Whiteley's or Oxford Dictionary of Law.

so, restriction in accordance with the articles/regulations, statutory restriction or something like that?

objective/mission in accordance with the articles of this regulations

Explanation:
Jeg skulle mene, at 'formål' is objective / purpose / mission ...

The 'bestemmelse' kan være selve definitionen, eller også den artikel, der omhandler formålet med x's aktivitet.

Det kan sikkert udtrykkes mere elegant

agree  Adrian MM. (X): Right. The Arts. of Assoc. part contain Articles, not Clauses.//No, the UK didn't make it to the answer. Yes, Arts. of Assoc. follow the Memo which contains the objects clause - wires crossed again - & congrats on the external vs. internal split.
