Procedure and practices for the nomination of candidates to the position of directors of companies in the Bank’s financial business group
Objective
The following procedures and practices have been established to ensure efficiency in the procedure to propose candidates for nomination to the position of directors of companies in the Bank’s financial business group to the Nomination and Remuneration Committee.
Procedures and practices
1) Companies which are in the Bank’s financial business group and under the managing authority of the Bank shall consult with the President&CEO regarding a change of companies’ directors.
2) Companies which are in the Bank’s financial business group and under the managing authority of the Bank and /or the President & CEO shall consider the suitability of executives who are employees of companies in the XXX Group or external candidates who are fully qualified according to regulatory requirements in order to nominate them for appointment / election as directors of companies in the Bank’s financial business group. Consultation with the Legal and Compliance Group regarding qualifications of nominated candidate according to regulatory requirements may be made as deemed appropriate.
3) Companies in the financial business group shall submit letters of nomination of qualified candidates for appointment / election as companies’ directors including their profiles signed by the managing director or the chairman of the board of directors of the company concerned to the President&CEO for endorsement. Subsequently, the documents shall be submitted to the Human Resources Group which shall propose the matter to the Nomination and Remuneration Committee for consideration. The Nomination proposals of the companies in the Bank’s financial business group should be submitted for consideration in advance in a timely manner.
4) The Human Resources Group, by the Secretary to the Nomination and Remuneration Committee, shall ensure that the matter is included in the Nomination and Remuneration Committee’s meeting agenda so as to allow the said committee to proceed with the consideration, selection and screening of candidates.
5) The Nomination and Remuneration Committee shall consider qualifications of candidates to support selection / screening. In this connection, the Nomination and Remuneration Committee may require that an interview with any of the nominated candidates be conducted as deemed appropriate.
6) If nominated candidates possess appropriate qualifications, the Nomination and Remuneration Committee will pass a resolution to submit the proposed candidates to the Bank’s Board of Directors for consideration and endorsement for further appointment / election as companies’ directors.
7) The Secretary of the Nomination and Remuneration Committee shall prepare a letter to the Bank of Thailand to request endorsement for the appointment of directors of companies in the Banks’ financial business group (only in the case of managing directors of companies under solo consolidation).
8) The Secretary of the Nomination and Remuneration Committee shall inform companies in the Banks’ financial business group of the resolution of the Bank’s Board of Directors for further actions.
9) Companies in the Banks’ financial business group shall submit copies of Registrar’s Affidavit issued by the Ministry of Commerce, after registration of the change of directors, to the Human Resources Group.

ขั้นตอนและวิธีปฏิบัติเกี่ยวกับการเสนอชื่อบุคคลเข้าดำรงตำแหน่งกรรมการบริษัท

วัตถุประสงค์
ขั้นตอนและวิธีปฏิบัติดังต่อไปนี้ได้กำหนดขึ้นเพื่อให้เกิดความมั่นใจในการสรรหาบุคคลเข้าดำรงตำแหน่งกรรมการบริษัทในกลุ่มธุรกิจทางการเงินของธนาคารเพื่อเสนอต่อคณะกรรมการการสรรหาและกำหนดค่าตอบแทนของกรรมการอย่างมีประสิทธิภาพ
ขั้นตอนและวิธีปฏิบัติ
1) บริษัทที่อยู่ในกลุ่มธุรกิจทางการเงินของธนาคารและอยู่ภายใต้การบริหารจัดการของธนาคารต้องปรึกษาประธานบริษัทและเจ้าหน้าที่บริหารระดับสูงเกี่ยวกับการเปลี่ยนแปลงกรรมการของบริษัท
2) บริษัทที่อยู่ในกลุ่มธุรกิจทางการเงินของธนาคารและอยู่ภายใต้การบริหารจัดการของธนาคารและ/หรือ ประธานบริษัทและผู้บริหารระดับสูงจะต้องพิจารณาคัดเลือกบุคคลที่มีความเหมาะสมในการเข้าดำรงตำแหน่งพนักงานบริหารจากพนักงานในกลุ่มบริษัทxxxหรือจากบุคคลภายนอกที่มีคุณสมบัติครบถ้วนตามเกณฑ์ที่กำหนดไว้ ควรขอคำแนะนำจากฝ่ายกฎหมายและฝ่ายควบคุมดูแลเกี่ยวกับคุณสมบัติของผู้ได้รับการเสนอชื่อคัดเลือกได้ตามความเหมาะสม
3) บริษัทในกลุ่มธุรกิจทางการเงินของธนาคารต้องทำหนังสือเสนอชื่อบุคคลผู้มีคุณสมบัติครบถ้วนสำหรับการแต่งตั้งเพื่อดำรงตำแหน่งกรรมการบริษัทรวมทั้งส่งประวัติของบุคคลดังกล่าวที่ได้รับการลงนามจากกรรมการผู้จัดการหรือประธานที่ประชุมคณะกรรมการ และนำเสนอประธานเจ้าหน้าที่บริหารและกรรมการผู้จัดการใหญ่ต้องลงนามรับรองอีกครั้งหนึ่ง โดยต้องส่งเอกสารนี้ไปยังแผนกทรัพยากรบุคคลเพื่อเสนอต่อคณะกรรมการสรรหาและพิจารณากำหนดค่าตอบแทน ทั้งนี้ เอกสารการเสนอชื่อบุคคลของบริษัทในกลุ่มธุรกิจทางการเงินของธนาคารควรเสนอให้พิจารณาล่วงหน้าในระยะเวลาอันสมควร
4) ฝ่ายทรัพยากรบุคคล โดยเลขาคณะกรรมการสรรหาและกำหนดค่าตอบแทนต้องมั่นใจว่าการคัดเลือกผู้ดำรงตำแหน่งกรรมการบริษัทได้จัดเป็นวาระหนึ่งในการประชุมของคณะกรรมการสรรหาและพิจารณากำหนดค่าตอบแทน เพื่อให้คณะกรรมการฯ พิจารณา คัดเลือกผู้สมัคร
5) คณะกรรมการสรรหาและพิจารณากำหนดค่าตอบแทนต้องพิจารณาคุณสมบัติผู้สมัครเพื่อประกอบการคัดเลือก/กลั่นกรอง ในส่วนนี้คณะกรรมการสรรหาและพิจารณากำหนดค่าตอบแทน อาจให้มีการสัมภาษณ์ผู้ได้รับการเสนอชื่อตามที่เห็นสมควร
6) หากผู้ได้รับการเสนอชื่อเข้ารับการเลือกตั้งมีคุณสมบัติเหมาะสม คณะกรรมการสรรหาและพิจารณากำหนดค่าตอบแทน จะมีมติเห็นชอบให้นำเสนอคณะกรรมการธนาคารเพื่อพิจารณาบุคคลนั้นๆ เพื่อเข้ารับการแต่งตั้งต่อไป / เลือกตั้งเข้าดำรงตำแหน่งกรรมการบริษัทต่อไป
7) เลขานุการคณะกรรมการสรรหาและพิจารณากำหนดค่าตอบแทน ต้องจัดทำหนังสือถึงธนาคารแห่งประเทศไทยเพื่อขอความเห็นชอบในการแต่งตั้งกรรมการบริษัทในกลุ่มธุรกิจการเงินของธนาคาร (สำหรับกรณีการแต่งตั้งกรรมการผู้จัดการบริษัทของบริษัทย่อยที่ประกอบธุรกิจการให้สินเชื่อ)
8) เลขานุการคณะกรรมการสรรหาและพิจารณากำหนดค่าตอบแทน ต้องแจ้งบริษัทในกลุ่มธุรกิจการเงินของธนาคารทราบถึงมติของที่ประชุมคณะกรรมการธนาคารเพื่อการดำเนินการต่อไป
9) บริษัทในกลุ่มธุรกิจการเงินของธนาคารต้องส่งมอบสำเนาหนังสือรับรองที่ได้รับการรับรองจากกระทรวงพาณิชย์ให้แก่ฝ่ายทรัพยากรบุคคลภายหลังจากได้มีการเปลี่ยนแปลงกรรมการบริษัทเรียบร้อยแล้ว
