Source text - German Der Subprime-Markt ist ein Teil des Marktes für Hypothekendarlehen, der überwiegend aus Kreditnehmern mit geringer Bonität besteht. Die traditionell hohen Verbraucherausgaben in den USA, die zwei Drittel des dortigen Bruttoinlandsprodukts ausmachen, werden seit jeher mit einer hohen Verschuldung der Privathaushalte finanziert. Jeder US-Bürger besitzt durchschnittlich neun Kreditkarten. Für den Fall einer Sperrung gab es weitere Möglichkeiten, Ausgaben auf Pump zu finanzieren, z.B. mit Subprime-Darlehen. Als Sicherheiten dafür dienten die ursprüngliche Hypothek auf eine Immobilie und bereits geleistete Tilgungen. Schuldenfalle und Konsumrausch lagen dicht beieinander.
Das auf den Immobilienmarkt spezialisierte Wirtschaftsforschungsinstitut SMR Research stellte fest, dass bereits im Juni 2006 10% aller Zweithypotheken in den USA notleidend waren. Im Frühsommer 2007 verdichteten sich die Probleme zusehends: Die zuvor steigenden Immobilienpreise in den USA stagnierten, in einzelnen Regionen begannen sie bereits zu fallen. Dazu kam, dass immer mehr Schuldner ihre Kreditraten nicht mehr bedienen konnten, was u.a. an den kontinuierlichen Zinserhöhungen seit 2007 und den damit verbundenen Belastungen für die Hypothekenschuldner lag. Der Großteil der Subprime-Kredite ist variabel verzinst, die veränderte Zinspolitik mit steigenden Zinssätzen der US-Notenbank wirkte sich direkt auf den Subprime-Markt aus. Baufinanzierer beantragten reihenweise Gläubigerschutz. Schon bald weitete sich die Krise über die Grenzen des Subprime-Segments aus, die größte Hypothekenbank Countrywide Financial Corporation musste an die Bank of America verkauft werden.
Translation - English The subprime market is a segment of the mortgage loan market consisting overwhelmingly of borrowers with low credit. Construction financers applied for creditor protection in droves, and the crisis soon spread past the subprime segment: Countrywide Financial Corporation, the largest mortgage bank, had to be sold to Bank of America.

Source text - German Gemäß §3 der Satzung ist das Grundkapital der Gesellschaft um bis zu EUR 4.626.562,00 bedingt erhöht durch Ausgabe von bis zu 4.626.562 neuen, auf den Inhaber lautenden Stückaktien. Das bedingte Kapital dient ausschließlich der Gewährung neuer Aktien an die Inhaber oder Gläubiger von Options- oder Wandelschuldverschreibungen, die gemäß Beschluss der ordentlichen Hauptversammlung der Gesellschaft vom 16.05.2007 durch die Gesellschaft oder durch mittelbare oder durch unmittelbare Mehrheitsbeteiligungsgesellschaften der Gesellschaft ausgegeben werden. Die bedingte Kapitalerhöhung wird nur insoweit ausgeführt, wie die Inhaber bzw. Gläubiger der Options- bzw. Wandelschuldverschreibungen von ihren Options- bzw. Wandlungsrechten Gebrauch machen oder Wandlungspflichten aus solchen Schuld-verschreibungen erfüllt werden.
Mit Beschluss vom 13.06.2007 hat der Vorstand die Begebung einer mit 4% verzinslichen Wandelschuldverschreibung im Gesamtbetrag von bis zu EUR 20.000.000,00 beschlossen. Auf der Grundlage dieses Beschlusses hat die Gesellschaft am 06.07.2012 fällige 4%-Wandelschuldverschreibungen im Gesamtbetrag von EUR 20.000.000,00 begeben. Während der Wandlungsfrist können Teilschuldverschreibungen im Nennwert von EUR 100,00 vorbehaltlich einer ggf. notwendigen Anpassung des Wandlungspreises in 20 Aktien der Gesellschaft gewandelt werden.
Translation - English According to § 3 of the articles of incorporation, the company’s registered capital is conditionally raised by up to EUR 4,626,562.00 through the issue of up to 4,626,562 new no-par shares made out to the bearer. The conditional capital serves exclusively to guarantee new shares to the bearer or creditor of option or convertible bonds, which are issued by the company or by indirect or by direct companies with a controlling interest in the company, according to the resolution of the company’s Annual General Meeting of Shareholders of 05/16/2007. The conditional capital increase is carried out only insofar as the bearers or creditors of the option or convertible bonds make use of their option or conversion privileges, or conversion obligations from such bonds are fulfilled.
With the resolution of 06/13/2007, the Board of Directors decided to issue a convertible bond with 4% interest for a total amount of up to EUR 20,000,000.00. On the basis of this decision, the company issued 4% convertible bonds with a maturity date of 07/06/2012 for a total amount of EUR 20,000,000.00. During the conversion period, partial bonds with a face value of EUR 100.00 may be converted to 20 shares of the company, subject to a necessary adjustment of the conversion price.
